Welcome to Bavlio! These Terms of Service ("Terms") govern your use of our AI-powered outreach platform, browser extension, and related services (the "Service") operated by Bavlio Inc. ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

Description of Service

Bavlio provides an AI-powered platform that helps businesses create and run personalized outreach campaigns by:

• Generating personalized email and LinkedIn outreach using AI
• Automating email campaigns through connected sending domains
• Sending LinkedIn connection requests and messages through your connected LinkedIn account (via Unipile)
• Extracting lead data from websites via the Bavlio browser extension
• Providing analytics and campaign performance tracking
• Managing a referral program for account credits

Account Registration and Security

Account Creation

To use our Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain and update your account information
• Choose a secure password and keep it confidential

Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

Acceptable Use Policy

Permitted Uses

You may use our Service for legitimate business purposes including:

• Professional outreach and sales communications
• Business development and lead generation
• Customer relationship management
• Marketing campaigns to opted-in or professionally relevant recipients

Prohibited Uses

You agree not to use our Service to:

• Spam or Unsolicited Communications: Send spam, unsolicited bulk emails, or violate anti-spam laws (including CAN-SPAM, CASL, and GDPR requirements)
• LinkedIn Policy Violations: Violate LinkedIn's User Agreement, including sending harassing messages, scraping in violation of LinkedIn's terms, or misrepresenting your identity
• Illegal Activities: Engage in any illegal, fraudulent, or deceptive practices
• Harassment: Harass, abuse, or harm others through communications
• False Information: Provide false, misleading, or deceptive information
• System Interference: Interfere with or disrupt our Service or servers
• Unauthorized Access: Attempt to gain unauthorized access to our systems
• Privacy Violations: Violate others' privacy or data protection rights

Subscription and Billing

Subscription Plans and Credits

Our Service is offered through subscription plans that include AI credits, email sending limits, and LinkedIn account slots. Current pricing and plan details are available on our pricing page. Credits are consumed per AI operation and do not carry over between billing cycles unless otherwise stated.

Billing and Payment

• Payment: Subscription fees are billed in advance on a monthly or annual basis via Stripe
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Payment Methods: We accept major credit cards processed by Stripe
• Failed Payments: Service may be suspended for failed payments
• Taxes: You are responsible for applicable taxes in your jurisdiction

Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through your account billing settings
• Effective Date: Cancellations take effect at the end of the current billing period
• Refunds: We offer a 30-day money-back guarantee for new paid subscriptions
• Credit Top-Ups: Credit top-up purchases are non-refundable once consumed

Third-Party Integrations

Our Service integrates with third-party platforms including LinkedIn (via Unipile), Google (Sheets, OAuth), and Stripe for payments. Your use of these integrations is also subject to the respective third-party terms of service. We are not responsible for third-party platform policy changes that may affect your use of our Service.

LinkedIn automation must comply with LinkedIn's User Agreement. We are not liable for account restrictions or suspensions imposed by LinkedIn for actions taken through our platform.

Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are owned by Bavlio and are protected by applicable intellectual property laws.

Your Content

You retain ownership of content you provide to the Service, but grant us a license to use your content to provide and improve the Service, generate insights and analytics, and ensure Service security and performance.

AI-Generated Content

Content generated by our AI on your behalf belongs to you. You acknowledge that AI-generated content may not be entirely original, similar content may be generated for other users, and you are responsible for reviewing and validating AI output before sending.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

Service Availability and Modifications

Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted or error-free operation, 100% uptime, or compatibility with all systems or platforms.

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service, update features and functionality, and change pricing and subscription plans with reasonable notice.

Disclaimers and Limitations

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING AS TO ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, OR SECURITY OR PRIVACY OF DATA.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAVLIO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS OR DATA, DAMAGES EXCEEDING THE AMOUNT PAID FOR THE SERVICE IN THE PRECEDING THREE MONTHS, OR ISSUES ARISING FROM THIRD-PARTY INTEGRATIONS OR PLATFORM POLICY CHANGES.

Indemnification

You agree to indemnify and hold harmless Bavlio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, infringement of third-party rights, or your content or communications.

Termination

Termination by You

You may terminate your account at any time by cancelling your subscription or deleting your account through account settings.

Termination by Us

We may terminate or suspend your account for violation of these Terms, non-payment of fees, fraudulent or illegal activity, or abuse of our platform or third-party integrations.

Effect of Termination

Upon termination, your access to the Service will cease, your data may be deleted after a grace period, and outstanding fees remain due.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Disputes

Most disputes can be resolved informally by contacting us at [email protected]. For formal disputes, we agree to attempt good-faith negotiation before pursuing other remedies. Disputes not resolved informally may be submitted to binding arbitration in Toronto, Ontario.

Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class action proceedings.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bavlio.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.

Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms on our website and sending email notifications. Continued use after changes constitutes acceptance.
